This agreement describes the terms and conditions applicable to your use of our services for registered users at the crispEtunes web site. Any new services for registered users added by us shall be subject to this Agreement.
We may amend this Agreement at any time by posting the amended terms on our site. All amended terms shall automatically be effective 30 days after they are initially posted on our site.
By completing the registration process and clicking the "Accept" button you are stating that you have the capacity to form a legally binding contract under applicable law and that you agree to be bound by all of the terms and conditions of this Agreement.
As a condition of using the Services, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the registration form and (b) to maintain and update this information to keep it true, accurate, current and complete. If any information provided by you on these forms is untrue, inaccurate, not current or incomplete, we have the right to terminate this Agreement and refuse any and all current or future use of the Services. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
Using crispEtunes is free of charge.
If you provide us with sound and/or video recordings, musical works and/or any other material such as pictures and literary works (hereinafter referred to as the "Content") you hereby grant to us a non-exclusive, worldwide, royalty-free license to: (a) reproduce, distribute, publicly perform, publicly display and digitally perform the Material in whole or in part; (b) create or and use samples of the Material solely for the purpose of demonstrating or promoting our products or services; and (c) use any names of individuals or trademarks or tradenames represented in the Material.
You represent and warrant that: (a) the Material is your own original work, and contains no material that has been sampled from copyrighted works belonging to third parties; (b) the Material does not and will not infringe on any third party's copyright, patent, trademark, trade secret or other proprietary rights; (c) the Material does not and will not violate any law, statute, ordinance or regulation; (d) the material is not and will not be defamatory, pornographic or obscene; (e) the Material does not and will not contain any viruses, Trojan horses, worms, time bombs, cancelbots or other programming routines that detrimentally interfere with, intercept or expropriate any system, data or personal information; (f) you will not use the Services for business purposes.
Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your account and refuse to provide our services to you: (a) if you breach this Agreement; (b) if we are unable to verify or authenticate any information you provide to us; or (c) if we believe that your actions may cause legal liability for you, our users or customers or us.
We reserve the right to modify or discontinue crispEtunes, temporarily or permanently, with or without notice to you.
You agree to indemnify and hold us, our users and customers harmless from any and all damages and costs, including consequential, indirect or incidental damages, arising from your breach of this Agreement.
We provide our web site and services "As is" without warranty of any kind.
In no event shall we be liable for lost profits or any consequential, indirect or incidental damages arising out of or in connection with our site, our services or this Agreement.
This Agreement shall be governed in all respects by the laws of Austria, excluding conflict of law principles. Any action or proceeding arising out of or related to this Agreement must be brought before an Austrian court.
The available declaration of consent can be recalled at any time without a term of notice by E-Mail (f.pluer@crispetunes.com). In this case the content is removed from crispEtunes within a period of 10 working-days.
